Atlas Governance is a Brazilian software as a service (SaaS) company that develops a corporate governance platform for boards of directors, committees, and executive teams. Founded in 2016 and headquartered in Curitiba, Brazil, the company provides digital tools for board meeting management, document distribution, voting, and minutes generation.[1]

History

Atlas Governance was founded in 2016 by Eduardo Carone, a former private equity fund manager who served as a board member at several companies.[2] According to reporting by Baguete, Carone conceived the idea after a legal incident at a company where he was a board member, in which a board-approved insurance contract was never signed, leading to the judicial freezing of board members' assets.[2]

The company's initial investment of R$1.5 million came from Carone himself. A second round of R$1.5 million followed in 2018, and a seed round of R$4 million was raised in 2020.[1]

By January 2020, Atlas Governance had reached over 100 clients and 3,000 users, with annual recurring revenue of R$3.5 million. The company reported revenue growth from R$180,000 in 2018 to R$6 million in 2020.[3]

In March 2021, the company launched Atlas Basic, a product aimed at small and medium-sized enterprises (SMEs) seeking to digitize their governance processes.[4]

Series A funding

In December 2021, Atlas Governance raised R$28 million in a Series A round led by Volpe Capital.[1] The company stated that the funds would be used to expand operations across Latin America and develop new products. At the time, Atlas reported a projected annual revenue of R$13 million and 160 employees, with plans to reach R$30 million in revenue and 300 employees by the end of 2022.[1]

Acquisition of Precisão-i

Atlas Governance acquired Precisão-i, a Brazilian company specializing in digital shareholder assembly software.[5] The acquisition brought clients such as Petrobras, Vale, Embraer, Eletrobras, and BRF into Atlas's portfolio. According to NeoFeed, the transaction value was not disclosed, but the acquisition multiple could reach three times revenue depending on performance.[5]

Products and services

The Atlas Gov platform is a cloud-based governance solution. Its main features include board meeting management with agenda creation and board book compilation, digital voting with quorum verification and audit trails, AI-assisted minute generation, and tools for general assembly management including proxy voting.[3][4]

Market position

Atlas Governance primarily serves organizations in Latin America, including financial services, healthcare, energy, retail, and cooperative sectors. By 2020, the company's client base included publicly traded companies listed on B3, credit cooperatives regulated by the Central Bank of Brazil, and state-owned enterprises.[3] Notable clients reported in press coverage include CEMIG, CVC, CCR, SABESP, and Eletronorte.[3][6]
